Terms of Service

1. Acceptance of Terms

By accessing or using any service provided by Hezcore ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use our services. We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.

2. Services Offered

Hezcore provides the following categories of services:

  • AI automation systems and workflow integrations
  • Custom software development (websites, mobile apps, portals, CRMs, booking platforms)
  • Managed website and application hosting
  • AI chatbot development and deployment
  • Business process consulting and automation strategy
  • SaaS products for business management
  • API integration and third-party connector development

Service scope, deliverables, timelines, and pricing are defined in individual proposals, statements of work, or subscription plan descriptions. These Terms apply to all services unless a separate written agreement explicitly supersedes them.

3. User Accounts

Access to certain services requires you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@hezcore.com if you suspect unauthorized use of your account.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.

4. Subscription & Billing

Hezcore offers recurring subscription plans for AI automation, managed hosting, maintenance services, and SaaS products. Subscriptions are billed on a monthly or annual basis as selected at the time of purchase.

All subscription fees are shown in United States Dollars (USD) unless otherwise stated. Prices are subject to change with 30 days' written notice. Continued use of the service after a price change constitutes acceptance of the new pricing.

5. Payment Processing

All payments are processed securely through Paddle, our authorized Merchant of Record. Paddle handles payment collection, currency conversion, fraud prevention, and tax compliance on our behalf. By making a purchase, you also agree to Paddle's terms and privacy policy.

Hezcore does not store, access, or process your payment card information. All card data is handled exclusively by Paddle in accordance with PCI DSS standards.

6. Taxes

Paddle, as our Merchant of Record, is responsible for calculating, collecting, and remitting applicable taxes (including VAT and sales tax) in supported jurisdictions. The price displayed at checkout may include applicable taxes depending on your location. You are responsible for any taxes not collected by Paddle that apply to your use of our services under the laws of your jurisdiction.

7. Automatic Renewals

All subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You authorize us and Paddle to charge your payment method on file for the applicable subscription fee at the start of each renewal period.

We will send a renewal reminder by email at least 7 days before annual subscriptions renew. It is your responsibility to ensure your payment method remains valid and up to date.

8. Cancellation Policy

You may cancel your subscription at any time through your billing portal or by contacting us at support@hezcore.com. Cancellations take effect at the end of the current billing cycle. You will retain access to the service until that date.

Cancelling a subscription does not automatically entitle you to a refund. Please refer to our Refund Policy for eligibility details.

9. Intellectual Property

All materials, tools, frameworks, methodologies, and pre-existing code developed by Hezcore remain the exclusive intellectual property of Hezcore unless a separate written agreement explicitly transfers ownership.

Upon full payment of all applicable fees for a custom development project, Hezcore grants you a non-exclusive, worldwide, royalty-free license to use the deliverables for your intended business purposes. We retain the right to use general methodologies, patterns, and non-confidential approaches in future work.

You grant Hezcore a limited license to use your name, logo, and project details for portfolio and marketing purposes unless you request otherwise in writing.

10. Client Content

You retain ownership of all content, data, and materials you provide to Hezcore ("Client Content"). By providing Client Content, you grant us a limited license to use, process, and display it solely as necessary to deliver the services described in your agreement.

You are solely responsible for ensuring you have the rights to all Client Content you provide and that it does not infringe any third-party intellectual property, privacy, or legal rights.

11. Acceptable Use

You agree not to use Hezcore's services to:

  • Violate any applicable local, national, or international law or regulation
  • Transmit unsolicited commercial communications (spam)
  • Distribute malware, viruses, or other harmful code
  • Engage in fraudulent, deceptive, or misleading activities
  • Collect or harvest personal data without appropriate consent
  • Interfere with or disrupt the integrity of our infrastructure or third-party systems
  • Use our AI tools to generate content that is abusive, hateful, or illegal

Violation of this section may result in immediate suspension or termination of your account without refund.

12. AI Generated Content Disclaimer

Some Hezcore services incorporate artificial intelligence to generate text, summaries, automations, or recommendations. AI-generated content is provided as-is and may contain errors, inaccuracies, or outdated information.

You are solely responsible for reviewing, validating, and deciding whether to use any AI-generated output. Hezcore makes no warranties regarding the accuracy, completeness, or fitness of AI-generated content for any specific purpose. AI outputs should not be relied upon as legal, financial, medical, or professional advice.

13. Third-Party Integrations

Our services may integrate with or depend on third-party platforms, APIs, and services (e.g., Paddle, Zapier, Make, OpenAI, Google Workspace, and others). Hezcore is not responsible for the availability, accuracy, or terms of those third-party services.

Changes made by third-party providers to their APIs or platforms may affect the functionality of your automation or integration. Additional development work may be required to restore functionality, which may be billable depending on your plan.

14. Availability and Uptime

Hezcore aims to provide reliable services with high availability. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, and events beyond our control may cause temporary service disruptions.

Managed hosting plans include uptime monitoring and we will use commercially reasonable efforts to restore service promptly. Specific uptime commitments, where offered, will be documented in your service agreement or plan description.

15. Service Level Expectations

Support response times and service levels vary by plan. Our general expectations are:

  • Email support: responses within 1–2 business days
  • Priority support: responses within 4 business hours
  • Dedicated support (Enterprise): responses within 1 business hour during agreed hours

Enterprise and custom clients may request a formal Service Level Agreement (SLA) with defined response times, escalation procedures, and remedies for non-compliance.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Hezcore and its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our services, including but not limited to loss of profits, data, or business opportunities.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Hezcore in the three months preceding the event giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Hezcore and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our services, your breach of these Terms, or your violation of any third-party rights.

18. Suspension or Termination

We reserve the right to suspend or terminate your access to our services at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to our infrastructure or other clients.

Where possible, we will provide notice and an opportunity to remedy the issue before suspension. In cases of serious violation, immediate suspension may occur without prior notice.

19. Confidentiality

Both parties agree to keep confidential any proprietary business information, technical details, or trade secrets shared during the course of the engagement. This obligation survives termination of the service relationship for a period of three (3) years.

Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law or court order.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago, unless a separate written agreement specifies a different jurisdiction.

For international clients, we are open to negotiating alternative governing law provisions in a separate master services agreement.
